Terms of Service

Pre-launch legal review required. These terms now reflect the Momently plan and Stripe Checkout flow. Before accepting live payments, Perpetual Media Ltd. must confirm its business address, governing jurisdiction, tax registrations, and refund/cancellation policy with qualified counsel.

1. Agreement to these terms

These Terms of Service form an agreement between you and Perpetual Media Ltd. (“Momently,” “we,” “us,” or “our”). By purchasing, creating, managing, viewing, or contributing to a Momently event, you agree to these terms and our Privacy Policy. If you do not agree, do not use the service.

You must be legally able to enter into this agreement. If you use the service for an organisation or another person, you confirm that you have authority to accept these terms for them.

2. Momently wedding plan and payment

Momently is sold as a $69 USD one-time payment for one wedding event. It is not a subscription and does not renew automatically. You may purchase a wedding from the current date through 24 months in advance. Eligibility is assessed when you start a Stripe Checkout session, so a session started while eligible may complete shortly after that calendar boundary. The Checkout page shows the final amount and any applicable taxes before you complete payment.

We use Stripe to process Checkout. By paying, you authorise Stripe to charge the amount shown at Checkout using the payment method you select. We do not receive or store your full card number or card security code. Stripe may provide us with limited payment and order information needed to activate your event, provide support, prevent fraud, and meet accounting obligations.

Your wedding studio is activated only after Stripe confirms successful payment. A payment receipt is provided by Stripe. Contact us promptly if you believe a charge was made in error or you need help with a purchase. Refund and cancellation terms must be confirmed before live launch; nothing in these terms limits any non-waivable consumer rights you may have.

3. Event access and management keys

After payment is confirmed, we create a private wedding studio and send its management key to the purchaser’s email address. The key is also displayed immediately after checkout in the browser that started it. Save it in a password manager: anyone with it can manage the event and remove photos.

You are responsible for keeping your management key secure and for activity performed with it. Guest links and QR codes are designed to be shared; management keys are not. Tell us promptly if you believe a key has been compromised.

4. Plan limits and hosting period

The Momently plan includes up to 2,000 total photos per wedding, including photos added by the couple and guests. Each guest device may add up to 100 photos. We support JPEG, PNG, HEIC/HEIF, WebP, and AVIF image files only, up to 10 MB per photo. HEIC and HEIF photos are converted to JPEG in your browser before upload, so they are stored and shown as JPEG. Video and other file types are not included.

The wedding date you provide at Checkout is used to calculate the end of your paid hosting period and is fixed after payment. Contact support if it needs to be corrected. Photos, the guest upload page, and the live slideshow are available through the exact expiry date shown before payment and in your studio, which is normally 12 months after the wedding date. After that date, access ends and we schedule deletion of event photos, guest sessions, and incomplete uploads. Do not rely on Momently for permanent storage; keep your own copies of any photos you want to retain.

We may prevent uploads or suspend an event where necessary to enforce these limits, protect the service, investigate misuse, or comply with law. We may make reasonable changes to technical limits where required for security or reliability, but will not reduce a purchased event’s stated photo allowance without reasonable notice unless necessary to address abuse or a security incident.

5. Your content and guest sharing

You retain ownership of photos, names, and other material you submit (“User Content”). You grant us a limited, non-exclusive licence to host, process, reproduce, and display User Content only as needed to operate, secure, and improve the service.

You confirm that you have the rights and permissions needed to submit User Content and to allow its use within the relevant event. Organisers are responsible for having authority to invite guests, share the guest link or QR code, and display contributed photos. Contributors are responsible for obtaining appropriate consent from people depicted in their uploads, including any permissions required for images of minors.

People with a shared guest link or QR code can view the event and, while uploads are enabled, contribute photos. A guest’s photo and display name may appear on the reception screen and be visible to other people who receive the event link. Treat the guest link as an invitation, not as a permanent or access-controlled private gallery.

6. Acceptable use

You must not use the service to upload unlawful, infringing, abusive, hateful, sexually exploitative, deceptive, or malicious content; violate another person’s privacy; impersonate others; distribute malware; probe or bypass security; interfere with the service; or use automated means that place an unreasonable load on our systems.

We may remove content or restrict access when we reasonably believe these terms, the law, or another person’s rights have been violated.

7. Availability and changes

We aim to provide a reliable service, but uninterrupted operation is not guaranteed. Uploads and playback may depend on internet access, devices, browsers, displays, and third-party infrastructure outside our control. We may change, suspend, or discontinue features where reasonably necessary.

8. Our intellectual property

The service, brand, software, interface, and original materials—excluding User Content—belong to us or our licensors. These terms do not transfer any ownership rights to you. You may not copy, reverse engineer, resell, or create derivative works from the service except where the law expressly permits it.

The service also includes third-party open source components that are provided under their own licences, which take precedence over this section for those components. Photo uploads use heic-to and libheif to convert HEIC and HEIF images in your browser; both are licensed under the GNU Lesser General Public License v3.0. A list of these components is kept in our third-party notices, available on request from support@momently.live.

9. Disclaimers

To the fullest extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that content will always be preserved or playback uninterrupted. Nothing here excludes warranties that cannot lawfully be excluded.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, profits, goodwill, or opportunities arising from use of the service. Our total liability for claims relating to the service will not exceed the amount you paid us for the relevant service in the twelve months before the claim, or 100 in the currency of the governing jurisdiction if you paid nothing. Mandatory consumer rights remain unaffected.

11. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access where reasonably necessary to protect users, comply with law, prevent harm, respond to a material breach, or enforce the plan limits above. Provisions that by their nature should survive termination will continue to apply.

12. Governing law

These terms are governed by the laws of [Governing jurisdiction to be confirmed before launch], without regard to conflict-of-law rules. Courts located in that jurisdiction will have jurisdiction, except where applicable consumer law gives you the right to bring a claim elsewhere.

13. Changes to these terms

We may update these terms to reflect changes to the service, law, or our practices. We will revise the effective date and provide additional notice where required. Continued use after an update means you accept the revised terms.
